This page states the “Terms & Conditions of Use” under which clients' customers and users (collectively “Users”) may use SMARTprepay® and SMARTbillpay™. You should carefully read these Terms & Conditions of use. By proceeding further you will be deemed to have accepted them. SMARTprepay® and SMARTbillpay™ are operated by Global Prepaid Solutions Ltd (hereafter referred to as GPS), a company registered in England and Wales, registration no. 07039158 and whose registered office is at White Cross, Lancaster LA1 4XQ. GPS is a wholly owned subsidiary of GLOBAL-365 PLC. This agreement is entered into between GPS (also referred to as 'we' or 'us') as owner of the service, and you as a user of this service where 'you' and 'your' are to be construed accordingly. Any legal dispute regarding this agreement and/or your use of the service is to be treated under English law. GPS reserves the right to amend or replace these terms and conditions as it sees fit, but pledges to make the current version readily available on its' service.
This service enables you to purchase services from third party suppliers (Suppliers). Any information relating to such goods or services, including, but not limited to, prices, quantities, descriptions, specifications and availability which appear on this service may only be regarded as an invitation to treat and in no way constitute an offer to sell. By submitting an order using this service you accept that you are dealing with a third party supplier and that your order is not binding in any way on GPS. Any contract that you enter into for supply of services is strictly between you and the relevant Supplier. All orders for services that you place with a Supplier are subject to the terms and conditions of the Supplier. Any issues that you may have regarding Supplier terms and conditions should be addressed directly to the Supplier. You acknowledge that Suppliers act on their own behalf and not as an agent, reseller, intermediary or other representative of GPS.
There is no obligation on any third party Supplier to accept your order. GPS cannot be held responsible or be obliged to act in the event that a Supplier refuses to accept an order from you. GPS tries to include only reputable Suppliers on the service, however GPS does not accept any responsibility for any of the services provided by these Suppliers with regard to quality or fitness for purpose. By placing an order through the service you acknowledge that GPS does not recommend or endorse any Supplier or its services and GPS does not accept responsibility for any statement, warranty or representation made by any Supplier on this service. Any issues regarding faulty or incomplete services or services that are not fit for purpose must be taken up with the relevant Supplier directly. GPS cannot accept responsibility for the actions or inactions of the Suppliers in such matters nor can GPS intervene on behalf of either party. In the event of the termination of your use of this service, and hence this Agreement, any outstanding obligations that you have to the Supplier (including, but not limited to, any unfulfilled payment obligations) will remain in force and any accrued rights of Supplier will remain unaffected.

That you will keep all user IDs, passwords and any other secure material used to access this site safe and secret at all times and have them changed immediately once you believe that any unauthorised person knows them.
Notify us immediately if you suspect or know that a third party has gained unauthorised access to secure areas of this service or has obtained the means to do so.
Information held on this site may be confidential. You agree that any information on this site will only be used internally for your own benefit, and that you will not disclose any information, except for that which is show on publicly accessible areas of this service to another party without the prior written consent of GPS.
You are responsible for any equipment (such as computers) or services (such as an ISP) required to provide you with connection to the internet so that you can access this service. Any costs of acquiring, maintaining or replacing such equipment and services rest solely with you. You accept that nothing in this Agreement grants or confers any rights in or ownership of Intellectual property rights to you of any content of this service whatsoever. You agree that you will only use this service lawfully and for the purpose that it is intended, and that you will not intentionally or negligently transmit, post or link to;
1. any unsolicited marketing materials or material that is unlawful, threatening, abusive, harmful, malicious, defamatory, misleading, obscene, pornographic, profane or otherwise objectionable in any way; or
2. any material containing a virus or other hostile computer program or item (whether actual or potential) that could disrupt the Site or interfere with other users;
3. any material that shall constitute or encourage a criminal offence, give rise to civil liability or that violates or infringes any Intellectual Property or similar rights of any person, firm or company under the laws of any jurisdiction.
If we have reason to believe that you have breached or are breaching your obligations as set out in this agreement, or that you have done or are doing anything that may harm the image, reputation or goodwill of GPS or any of its shareholders or suppliers, then GPS reserves the right to suspend or withdraw all or part of the services provided to you by GPS immediately and without prior notification or consent.
